1.Provider and agreement
THOTH is a software product. It is provided and operated by THOTH STRATEGY TECNOLOGIA LTDA (trading as Thoth Strategy), a Brazilian limited liability company (Sociedade Limitada Unipessoal) registered with the Commercial Registry of Santa Catarina, CNPJ 61.150.242/0001-56, located in Florianópolis, Santa Catarina, Brazil (“we”, “us”). THOTH is not a separately incorporated company.
These Terms are an agreement between us and the person or organization that uses THOTH (“you”). If you use THOTH on behalf of an organization, you confirm that you are authorized to accept these Terms for it, and “you” includes that organization.
By creating an account, accepting a workspace invitation, purchasing a subscription or continuing to use THOTH after the effective date, you agree to these Terms. If you do not agree, do not use THOTH.
2.The service
THOTH lets teams plan, deliver and oversee work in a shared online Workspace. Current functionality includes:
- Workspaces with members and roles
- Programs, projects, milestones, features, tasks and sprints
- Planning, an automatic backlog, Kanban boards and an interactive Gantt chart
- Teams and assignments
- Time tracking and capacity analytics
- Project budgets, expenses and financial analytics
- Team chat, direct messages, task discussions and notifications
- Project document storage
- Gamification: experience points, levels, badges and leaderboards
- An executive dashboard and a presentation mode
THOTH does not currently include artificial-intelligence features or third-party integrations, and these Terms do not promise them.
3.Accounts and security
- You must be at least 18 years old and able to enter into a binding contract to create an account. THOTH is intended for professional use. We do not currently verify age, but we may close accounts created in breach of this requirement.
- You need an account to use THOTH. Provide accurate information and keep it up to date.
- THOTH accounts currently sign in with an email address and password, and passwords can be reset by a link sent to that email address. You are responsible for activity under your account, for keeping your password confidential and for securing access to your email account. Use a strong, unique password.
- Only use Workspaces you have been authorized to join. Workspace Owners and Admins are responsible for inviting the right people and assigning appropriate roles.
- Tell us promptly through the contact channel on our Contact page if you believe your account or a Workspace has been accessed without authorization.
We apply reasonable technical and organizational safeguards, described in our Privacy Policy. THOTH does not currently hold formal security certifications.
4.Workspaces and administration
Each Workspace is separate, with its own members, content, settings and subscription. A person may belong to several Workspaces with a different role in each.
- Owner — each Workspace has exactly one Owner, who manages the Workspace, its members and its subscription. Ownership can be transferred to another member.
- Admin — helps administer the Workspace and can manage its subscription and see financial details. Admins cannot remove or demote the Owner or change their own role.
- Member — works with Workspace content as permitted. Members can see and work with Workspace-wide content such as projects, tasks and documents; financial details are limited to Owners and Admins.
Workspace roles are customer roles. They are different from our own staff, who operate the service and do not act as Workspace Owners. Workspace users must respect the confidentiality of their organization’s information.
5.Acceptable use
You must not:
- access accounts, Workspaces or data you are not authorized to access, or probe, scan or test the vulnerability of the service without our written permission;
- upload malicious software or content designed to disrupt or damage systems;
- try to bypass security, permission, plan-limit or billing controls;
- store or share content that is illegal or infringes the rights of others;
- disclose confidential information of others without authorization;
- place unreasonable load on the infrastructure, for example through automated mass requests or using storage as a general file host;
- use messaging or collaboration features to harass, spam or deceive others.
6.Customer data
You and your organization keep all rights you have in the content you enter or upload (“Customer Data”). We do not claim ownership of it.
You give us a limited permission to host, copy, process, display and transmit Customer Data only as needed to provide, secure and support the service, to comply with law, and as you instruct through the service. We do not sell Customer Data and do not use it to train artificial-intelligence models.
You are responsible for having the right to place Customer Data in THOTH, including personal data of colleagues or third parties. How we handle personal data is described in the Privacy Policy.
We do not currently offer a separate Data Processing Agreement. Business customers who need one can ask through our Contact page.
7.Availability and changes
We work to keep THOTH available and reliable, but we do not guarantee uninterrupted or error-free operation. Maintenance, updates, provider outages or events outside our control may cause interruptions. No service-level agreement applies unless agreed in writing.
Database backups are kept through our infrastructure provider, but we cannot guarantee that all data can always be recovered. Uploaded documents are not currently backed up independently of their primary storage. Keep your own copies of important files.
“Unlimited” programs, projects, milestones, features, sprints and tasks means we do not set plan limits on the number of these records. Reasonable technical limits still apply, such as maximum file sizes and storage included in your plan.
We may improve, change or retire features. If we remove a material feature from a paid plan, we will give reasonable notice.
8.Plans and payment
Subscriptions are billed per Workspace, not per person. Every paid plan includes every THOTH feature; plans differ only by active members and file storage.

Owners, Admins and Members count as active members; pending invitations do not. Annual billing equals ten monthly payments for twelve months. Subscriptions renew automatically at the end of each period until cancelled. Growth terms are agreed individually with us.
We do not add transaction fees. Applicable taxes are calculated at checkout and may change the final amount depending on your location. We may change prices for future periods with reasonable advance notice; changes do not affect a period you have already paid for.
9.Paddle as Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for orders placed through Paddle checkout. Paddle handles payment-related customer service inquiries and returns for those orders.
When you buy a THOTH subscription through Paddle checkout, Paddle sells it to you and is responsible for checkout, payment processing, invoicing, tax collection, refunds and payment disputes. Your purchase is also subject to Paddle’s Buyer Terms and Refund Policy. For help with a payment, visit paddle.net.
We remain responsible for providing the THOTH software service itself. We do not receive or store your full card details. Custom Growth arrangements may be documented separately; the agreement for such an arrangement will state how it is billed.
10.Free trial
Each new Workspace receives one seven-day free trial, starting when the Workspace is created. The trial includes every feature, up to 5 active members and 10 GB of storage, and requires no payment card. It does not restart through plan selection or repeated requests. There is no permanent free plan. While THOTH is in private beta, new Workspaces are available by invitation only, and we may limit how many trial Workspaces one person can create.
11.Cancellation and restricted access
Owners and Admins can cancel a subscription at any time from Settings → Plan & Subscription. Cancellation is scheduled for the end of the current billing period: it stops future renewals and access continues until that date. Until then, an Owner or Admin can select “Undo cancellation” to keep the subscription renewing. Purchases also remain subject to Paddle’s Buyer Terms. Cancelling is not the same as a refund — see the Refund Policy and Cancellation Policy.
When access ends, the Workspace moves through these stages:

| Deletion eligible | After day 180 the Workspace becomes eligible for a retention and deletion review. Automatic permanent deletion is not currently enabled; any future deletion process will be announced in this policy before it applies. |
We do not promise to keep data indefinitely. Please export anything you need while you still have full access.
12.THOTH software and feedback
We and our licensors keep all rights in the THOTH software, design and documentation. We grant you a limited, non-exclusive, non-transferable right to use THOTH during your subscription or trial under these Terms. If you send us suggestions, we may use them without obligation to you.
“THOTH” is used as a product name; no claim of registered trademark status is made here.
13.Disclaimers and liability
To the extent permitted by law, THOTH is provided “as is” and “as available”. We do not guarantee that it will meet every specific requirement or that analytics, forecasts or financial figures produced from your data are free of error; you remain responsible for business decisions based on them.
To the extent permitted by law, we are not liable for indirect or consequential losses, such as lost profits or loss of business opportunity, arising from use of THOTH.
Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including consumer protection law.
Nothing in these Terms limits liability that cannot be limited by law, or removes mandatory rights you have as a consumer or under data-protection law, including under the Brazilian Consumer Defense Code (CDC) and LGPD where applicable.
14.Suspension and termination
We may suspend or restrict access if needed to address a serious breach of these Terms, a security risk or a legal requirement. Where reasonable, we will give notice and a chance to resolve the issue first. You may stop using THOTH at any time; paid access ends as described in the Cancellation Policy.
15.Governing law and disputes
These Terms are governed by the laws of the Federative Republic of Brazil, without prejudice to mandatory laws that protect you in the country where you live.
For business customers, the courts of Florianópolis, Santa Catarina, Brazil, are the chosen forum, unless applicable law requires otherwise. If you are a consumer, nothing in this clause removes your right to bring a claim in the courts of your place of residence or to rely on the consumer and data-protection rules that apply to you there.
Before taking formal action, please contact us so we can try to resolve the matter informally.
16.Changes to these Terms
We may update these Terms. We will show the version and effective date on this page and give reasonable advance notice of material changes. Changes do not apply retroactively.
